Introduction
Welcome to Recognito! We specialize in providing state-of-the-art document recognition services designed to streamline and enhance your document processing needs. Our platform leverages advanced technology to deliver fast, accurate, and reliable document analysis, benefiting a wide range of applications and industries.
This document, the “Terms and Conditions” (hereinafter referred to as the “Terms”), governs your use of the Recognito platform, website, and associated services. These Terms represent a binding agreement between you, whether personally or on behalf of an entity and MB Recognito.
By accessing or using any part of our Service, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, then you may not access the Service or use any services. If these Terms are considered an offer, acceptance is expressly limited to these Terms.
The Service is not intended for individuals under the age of 18. Users under the age of 18 are only permitted to use the Service under the supervision of a parent or guardian who agrees to be bound by these Terms.
Please read these Terms carefully before accessing or using our Service.
Definitions and Interpretations
Unless otherwise defined herein, capitalized terms and expressions used in these Terms shall have the following meaning:
- ‍”Account” means a unique account created for You to access our Service or parts of our Service;
- “Data Protection Laws” means to the extent applicable, the data protection or privacy laws of any other country;
- “EEA” means the European Economic Area;
- “GDPR” means EU General Data Protection Regulation No. 2016/679;
- “Parties” means Recognito and User together.
- “Privacy Policy” means detailed supplementary document to these Terms, which outlines how Recognito handles data collection, use of the data and the rights that you have over your information;
- “Service” means Recognito platform, website and associated services collectively;
- “User Content” means all the submitted content, data, or information to the Service;
- “User Data” means all the data Users input into Recognitoʼs Service;
- “we”, “us”, “our” or “Recognito” means MB Recognito;
- “you” or “User” means the individual accessing or using the Service or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
Any other terms, that are used in these Terms, shall have the same meaning as in the GDPR.
Acceptance of the Terms of Service
By registering for an Account, accessing, or using the Service offered by Recognito, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are entering into these Terms on behalf of a business organization or any other legal entity, you represent that you have the authority to bind such entity and its affiliates to these Terms, in which case the terms “you” and “your” shall refer to such entity and its affiliates. If you do not have such authority or if you do not agree with these Terms, you must not accept this agreement and may not access or use the services. These Terms apply to all visitors, Users, and others who wish to access or use the Service.
Your access to and use of the Service is also conditioned on your review of and compliance with the Privacy policy of Recognito. Our Privacy Policy describes our policies and procedures on the collection, use, and disclosure of your personal data when you use the Application or the Website and tells you about your privacy rights and how the law protects you. Please read our Privacy Policy carefully before using Our Service.
By accessing our Service, you also agree to be bound by a standard Data Processing Agreement (“DPA”) which governs the processing of personal data conducted by Recognito as the "Processor" on behalf of the User as the “Controller”.
If any provisions of these documents could be considered contradictory to each other, the interpretation and application of these Terms shall follow this order of precedence: (i) DPA; (ii) Privacy Policy; (iii) Terms.
Description of Service
Recognito provides a document recognition platform that specializes in document analysis and the labelling of key-value pairings. Our platform is designed to automate and streamline the process of data extraction from various document types, facilitating efficient data handling and management for businesses and individuals.
Core Service:
- Automated Document Processing: Our Service automates the recognition and labelling of key-value pairings within documents, enabling precise and systematic data extraction.
- Data Extraction: The platform efficiently extracts critical data points from documents, aiding in the systematic organization and utilization of information for various operational purposes.
- Integration Capabilities: Recognito’s Service are designed to be integrated with other systems and applications, providing enhanced functionality and a cohesive workflow experience.
Access and Use of the Service:
- The Service is accessible exclusively via our website.
- Users are responsible for ensuring their systems are compatible with RecognitoĘĽs technical requirements for optimal use.
- The performance and output of the service may vary depending on the quality, format, and complexity of the documents processed.
Service Limitations:
- Recognito reserves the right to modify, update, or discontinue the Service (or any part or content thereof) at any time without prior notice. We will not be liable for any modification, suspension, or discontinuance of the Service.
- Use of the Service is subject to compliance with all applicable local, state, national, and international laws and regulations.
- The Service is provided on an “as is” and “as available” basis and its use is at the User’s sole risk.
User Registration and Account Management
Account Creation:
- To access and use the services provided by Recognito, Users must create an Account on our website. When creating an Account, Users are required to provide accurate, current, and complete information as prompted by the registration process. Users agree to update their information promptly should there be any changes to maintain the accuracy of their Account.
Account Security:
- Users are responsible for maintaining the confidentiality of their Account information, including the password. Each User is fully responsible for all activities that occur under their Account. Recognito should be promptly notified of any unauthorized use of your Account or any other breach of security. Recognito will not be liable for any loss or damage arising from your failure to comply with this security obligation.
Account Usage:
- The User agrees not to use the Account for any unlawful purpose or in a way that is prohibited by these Terms.
- Each Account is personal and cannot be shared or used by more than one individual unless you are creating an Account on behalf of a business organization or any other legal entity, or it is explicitly permitted by Recognito.
Termination and Suspension of Account:
- Recognito reserves the right to suspend or terminate your Account and refuse any current or future use of the Service if you provide any information that is untrue, inaccurate, not current, or incomplete, or if Recognito has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete.
- Additionally, Recognito retains the right to issue a warning, or restrict use of the Account by suspending or terminating Accounts that are involved in activities that violate these Terms or applicable laws.
Changes to Account Information:
- Users can review and change their Account information by logging into their Account on the Recognito website and visiting their Account profile page. It is the User’s responsibility to keep their Account details up to date.
Service & License Terms
Grant of License:
- Recognito grants Users a non-exclusive, non-transferable, and revocable license to access and use the document recognition services provided through our website strictly in accordance with these Terms. This license is granted solely for the purpose of enabling Users to benefit from the services offered by Recognito in the manner permitted by these Terms.
Use of the Service:
- The Service provided by Recognito should be used only for lawful purposes and in a lawful manner.
- The services must not be used to store, host, or send any material which violates intellectual property rights or in connection with any illegal activity. If we have reasonable ground to suspect that you are involved in illegal activities, we retain the right to collect and use the necessary data to provide information to law enforcement and other public authorities.
Restrictions:
- Users are prohibited from sublicensing, selling, renting, leasing, transferring, assigning, distributing, hosting, or otherwise commercially exploiting the services.
- Users must not modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the service or access the service to build a similar or competitive service.
- Users shall not use the service in any way that could damage, disable, overburden, or impair the functioning of the service in any manner.
Intellectual Property:
- The service and all intellectual property rights therein are and shall remain the property of Recognito. The structure, organization, and code of the service are valuable trade secrets and confidential information of Recognito. Except as expressly stated herein, these Terms do not grant the User any intellectual property rights in or to the service, and all rights are reserved.
Modifications to the Service:
- Recognito reserves the right to modify, suspend, or discontinue, temporarily or permanently, the service (or any part thereof) with or without notice at any time. Users agree that Recognito will not be liable to them or to any third party for any modification, suspension, or discontinuance of the service.
User Responsibilities
Compliance with Laws:
- Users of Recognito’s Service must comply with all applicable local, state, national, and international laws and regulations. This includes, but is not limited to, laws related to data protection, privacy, intellectual property, and export control. Users are solely responsible for ensuring that their use of the service does not contravene any such laws.
Proper Use of Service:
- Users must not use Recognito’s Service for any illegal or unauthorized purpose.
- The Service must not be used in any manner that could harm, disable, overburden, or impair any Recognito server, or the network(s) connected to any Recognito server.
- Users must not interfere with any other party’s use and enjoyment of the Service.
- The use of automated systems or software to extract data from the service for commercial purposes (“screen scraping”) is prohibited unless you have a written agreement with Recognito permitting such activity.
Content Responsibility:
- Users are responsible for any content they provide or actions they take while using the services of Recognito.
- Users must ensure that the data they input into the Service does not infringe upon the intellectual property rights or other rights of any third party or violate any applicable law.
- Recognito is not responsible for any User-generated content and does not endorse any opinion contained in such content.
Security:
- Users are responsible for maintaining the confidentiality of their Account and password and for restricting access to their computer or device. They agree to accept responsibility for all activities that occur under their Account or password.
- Users should take all necessary steps to ensure that their password is kept confidential and secure and should inform Recognito immediately if they have any reason to believe that their password has become known to anyone else or if the password is being or is likely to be used in an unauthorized manner.
Fees, Payment, and Subscription Terms
Subscription Plans:
- Recognito offers various subscription plans for its document recognition services. Details of these plans, including features and pricing, are available on our website. Users can select a plan that best suits their needs. All fees are stated exclusive of any taxes, levies, or duties imposed by taxing authorities.
Payment Terms:
- Fees for the selected subscription plan are billed in advance on a recurring basis as specified in the chosen plan. Users will be required to provide their payment information and authorize Recognito to charge such fees to their payment method.
- Payment obligations are non-cancellable, and fees paid are non-refundable except as expressly provided in these Terms.
Changes in Fees:
- Recognito reserves the right to revise its fees for any subscription plan at any time, subject to providing reasonable notice to Users. Such notice may be provided at any time by posting the changes to the Recognito website or through the service itself.
Renewal and Cancellation:
- Subscriptions will automatically renew using the payment method on file unless cancelled by the User. Users can manage their subscription settings and cancel auto-renewal by accessing their Account settings on the Recognito website.
- Upon cancellation, the User’s access to the service will continue until the end of the current billing cycle.
Non-Payment:
- If any fees owed to Recognito by the User (excluding amounts disputed reasonably and in good faith) are not paid on the due date, Recognito may, without limiting its other rights and remedies, suspend the User’s access to the services until such amounts are paid in full.
Taxes:
- The User is responsible for paying all taxes associated with their subscription to the service. If Recognito has the legal obligation to pay or collect taxes for which the User is responsible, the appropriate amount shall be invoiced to and paid by the User unless the User provides Recognito with a valid tax exemption certificate.
Data Privacy and Security
Commitment to Data Privacy:
- Recognito is committed to protecting the privacy and security of our Users data. Our practices regarding the collection, use, and disclosure of personal data are outlined in our Privacy Policy, which is integral to these Terms. By using our Service, Users consent to such processing and pledge that all data provided is accurate.
User Data:
- Users retain full ownership of the data they input into RecognitoĘĽs services. Recognito does not claim any ownership rights over User Data.
- Recognito will use User Data solely in connection with providing the Service, including for purposes of improving and customizing the Service.
Data Security:
- Recognito as Data Processor implements a variety of security measures, which are explicitly established in the DPA, designed to maintain the safety of User Data. However, no method of transmission over the Internet or electronic storage is 100% secure. Therefore, while we strive to use commercially acceptable means to protect User Data, we cannot guarantee its absolute security.
- Users are responsible for maintaining the security of their Account access credentials and for the activities that occur under their Account.
Data Processing and Transfer:
- User Data may be processed in the country where it was collected, as well as other countries where laws regarding data processing may be less stringent than the laws in the User’s country. In case of data transferring from a country within the EEA to a country outside the EEA, the Parties shall ensure that the personal data is adequately protected.
- Users consent to the transfer of their data to other countries for processing and storage by Recognito.
Compliance with Laws:
- Recognito will comply with all applicable laws and regulations in the handling of User Data, including but not limited, to the provisions of the GDPR.
- Users are responsible for ensuring that their use of the service, including their data handling practices, complies with all applicable laws and regulations.
Personal Data Breach Notification:
- In the event of any breach of security leading to the accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to User Data, Recognito will promptly assess the risk to Users’ rights and freedoms and, if appropriate, under the GDPR and (or) applicable Data Protection Laws, report this data breach to the relevant authorities and Users.
Confidentiality
Obligation of Confidentiality:
- Recognito recognizes the importance of confidentiality in handling User Data. We are committed to maintaining the confidentiality of all information provided by Users in connection with their use of our Service, which shall be considered “Confidential Information”. This includes, but is not limited to, User’s Data, business processes, and personal information.
User Responsibilities:
- Users agree to treat all non-public information obtained using Recognito’s Service as confidential.
- Users must not disclose, replicate, or use any Confidential Information obtained through the Service for any purpose outside the scope of these Terms without prior written consent from Recognito.
Exceptions to Confidentiality:
- The obligations set forth in this section shall not apply to information that (i) becomes publicly known through no fault of the User, (ii) is lawfully received from a third party not bound by a duty of confidentiality, (iii) is independently developed by the User, (iv) is required to be disclosed by law or regulatory authority or (v) the relevant information is already in the public domain.
Duration of Obligation of Confidentiality:
- The Obligation of Confidentiality shall survive the termination or expiry of these Terms and continue for a period of three 3 years post-termination or expiry, except for trade secrets, which shall be maintained indefinitely.
Data Security:
- While Recognito takes all reasonable measures to protect the confidentiality and security of your data, it is also the responsibility of the User to safeguard their data, particularly when transmitting it over the internet.
Intellectual Property Rights
Ownership by Recognito:
- All intellectual property rights in and to the Recognito Service, including but not limited to its software, trademarks, logos, graphics, user interface, content, and design, are and shall remain the exclusive property of Recognito. This includes any modifications, enhancements, and updates to the service.
- No rights are granted to the User other than as expressly set forth in these Terms.
User Content:
- Users may submit content, data, or information to the Service. Users retain all intellectual property rights in their User Content.
- By submitting User Content to the service, Users grant Recognito a worldwide, nonexclusive, royalty-free license to use, reproduce, display, and perform such User Content solely for the purpose of operating and providing the Service to the User.
Restrictions:
- Users shall not copy, reproduce, modify, distribute, display, perform, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from Recognito, except as expressly permitted by these Terms or as authorized in writing by Recognito.
- Users shall not reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the software or any part of the service provided by Recognito.
Infringement Claims:
- Recognito respects the intellectual property of others and expects its Users to do the same. Claims of intellectual property infringement committed using the service will be investigated, and appropriate action will be taken, including but not limited to the removal of the infringing material from the service.
No Implied Licenses:
- Except as expressly provided in these Terms, no license or right is granted to any Recognito intellectual property rights, whether by implication, estoppel, or otherwise.
Indemnification
User Obligation to Indemnify:
- Users agree to indemnify, defend, and hold harmless Recognito, from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of these Terms, any activity related to the User’s Account (including negligent or wrongful conduct) by the User or any other person accessing the Service using the User’s Account, or any infringement by the User or any other User of the Account of any intellectual property or other right of any person or entity.
Scope of Indemnification:
- This Indemnification obligation will survive the termination or expiration of these Terms and your use of the Service.
- It covers claims brought against Recognito arising out of the User’s use of the Service, violations of any rights of another, or breach of these Terms.
Defense and Control of Claims:
- Recognito reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to Indemnification by the User, in which event the User will fully cooperate with Recognito in asserting any available defenses.
Notification of Claims:
- Users should promptly notify Recognito of any claim or legal proceeding which arises in relation to the Service or these Terms, although failure to notify Recognito will not relieve the User of their indemnification obligations unless the failure significantly prejudices Recognito’s ability to defend against or respond to the claim.
Warranty and Disclaimer
Service Warranty:
- Recognito warrants that the Service will be provided in a professional and workmanlike manner in accordance with generally accepted industry standards. For any breach of this warranty, the User’s exclusive remedy and Recognito’s entire liability shall be the correction of the Service errors that caused the breach of warranty.
Disclaimer of Warranties:
- Except as expressly provided herein, the Service is provided “as is” and “as available”, with all faults and without warranty of any kind. Recognito disclaims all other warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
- Recognito does not warrant that the Service will be uninterrupted, timely, secure, or errorfree, nor does it make any warranty as to the results that may be obtained from the use of the Service.
- Recognito does not warrant that the Service will meet your requirements or that the operation of the Service will be uninterrupted or error-free.
Limitations:
- The foregoing warranties shall not apply to the extent prohibited by applicable law.
- No oral or written information or advice given by Recognito or its authorized representatives shall create a warranty or in any way increase the scope of this warranty.
Limitation of Liability
Limitation on Direct Damages:
- Recognito shall not be liable for any direct damages, losses, or expenses arising in connection with the use of or inability to use the Service, including but not limited to damages resulting from the loss of use, data, or profits, whether in an action of contract, negligence, or other tortious action, even if Recognito has been advised of the possibility of such damages.
Exclusion of Consequential and Related Damages:
- In no event shall Recognito be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of revenues, profits, goodwill, use, data, or other intangible losses (even if Recognito has been advised of the possibility of such damages) resulting from the use or the inability to use the Service.
Cap on Liability:
- To the maximum extent permitted by applicable law, the aggregate liability of Recognito and its affiliates, officers, employees, agents, suppliers, and licensors relating to the Service will be limited to an amount equal to three months of your Service fee prior to the first event or occurrence giving rise to such liability. The limitations and exclusions also apply if this remedy does not fully compensate you for any losses or fails of its essential purpose.
Essential Basis of the Agreement:
- The Parties acknowledge that the limitations set forth in this section are integral to the amount of fees charged in connection with the Service, and that were Recognito to assume any further liability other than as set forth herein, such fees would of necessity be set substantially higher.
Term and Termination
Duration of Terms:
- These Terms are effective unless and until terminated by either you or Recognito. You may terminate these Terms at any time by discontinuing use of Service and notifying Recognito of your desire to terminate.
Termination by Recognito:
- Recognito may terminate or suspend your access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately.
Effect of Termination:
- Upon termination or expiration of these Terms, your obligation to pay accrued charges and fees shall survive any termination of these Terms. Any provision of these Terms that by its nature is intended to survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Data Handling Post-Termination:
- Upon termination, Recognito will delete or deactivate your Account and return or delete any personal data associated with it, and delete the existing copies of such data, unless otherwise required under the applicable data protection law. However, Recognito may retain some of your data as necessary to comply with legal obligations, resolve disputes, and enforce our agreements.
Notice of Termination:
- In the event of termination, Recognito will make a reasonable effort to notify you through the Service or via the email address associated with your Account.
Modifications to the Terms of Service
Right to Modify Terms:
- Recognito reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
User’s Responsibility to Stay Informed:
- It is your responsibility to regularly review these Terms. Continued use of the Service after any such changes shall constitute your consent to such changes.
Acceptance of Modified Terms:
- By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Service.
Documentation of Changes:
- The date of the last revision or update to these Terms will be indicated at the top of this document, and we may provide other forms of notice depending on the nature of the change.
Governing Law and Dispute Resolution
Governing Law:
- These Terms and your use of the Recognito’s Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Recognito is established, i.e., by the law of the Republic of Lithuania, without regard to its conflict of law provisions.
Jurisdiction:
- Any legal actions or proceedings relating to your access to or use of the Service or these Terms shall be brought exclusively in the courts of the jurisdiction where Recognito is established, i.e., the laws of the Republic of Lithuania. You hereby irrevocably consent and submit to the exclusive jurisdiction and venue of these courts.
Dispute Resolution:
- In the event of any dispute, claim, question, or disagreement arising from or relating to these Terms or the breach thereof, the Parties hereto shall use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both Parties.
Alternative Dispute Resolution:
- If the Parties do not reach such a solution within a period of 60 days, then upon notice by either party to the other, all disputes, claims, questions, or disagreements shall be finally settled by arbitration administered by an agreed-upon arbitration body under its rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
Miscellaneous
Entire Agreement:
- These Terms constitute the entire agreement between you and Recognito regarding the use of our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
Severability:
- If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The failure of Recognito to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Assignment:
- Recognito may assign or delegate these Terms and (or) the Recognito Privacy Policy in whole or in part to any person or entity at any time without your consent. However, you may not assign or delegate any rights or obligations under these Terms without Recognito’s prior written consent.
Force Majeure:
- Recognito shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond RecognitoĘĽs reasonable control, including without limitation mechanical, electronic, or communications failure or degradation.
Notices:
- Any notices or other communications provided by Recognito under these Terms, including those regarding modifications to these Terms, will be given: (i) via email; or (ii) by posting to the Service. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.
No Third-Party Beneficiaries:
- There are no third-party beneficiaries to these Terms. The terms and conditions set forth in these Terms are for the sole benefit of you and Recognito and confer no rights, benefits, or claims upon any third-party individuals or entities.
Acknowledgment and Acceptance of Terms
By using the Service provided by Recognito, you acknowledge that you have read, understood, and agree to be bound by these Terms. This includes any updates or revisions to these Terms, which will be communicated to you as outlined in Section 15. Your continued use of the Service following such updates or changes constitutes your acceptance of the revised Terms.
If you are accessing or using the Service on behalf of a company, organization, or any other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and in such a case, “you” and “your” will refer to that entity.
Your acceptance of these Terms also indicates that you have reviewed the practices outlined in our Privacy Policy and DPA, which are an integral part of these Terms. You confirm that all the information that you provide to Recognito, whether at the time of the registration or during your use of the Service, will be true, accurate, current, and complete.
We reserve the right to refuse Service, terminate Accounts, remove or edit content, or cancel orders at our sole discretion. If any part of these Terms is found to be invalid, void, or for any reason unenforceable, that part shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.
By using Recognito, you also agree to the arbitration agreement described in Section 16 to resolve any disputes with Recognito (except for matters that may be taken to small claims court).
